OUR DUTY

Duties and Powers of the Board of Directors

  • Represent and bind to the OIR,
  • To direct and administer OIR according to the laws, regulations, contracts and similar arrangements set by the administration of OIR,
  • To take all necessary measures for the development, planning and good governance to take decisions regarding the operation in an ideal way ,
  • To prepare the annual report, budget, final accounts and a balance sheet, to set and propound management fees and fees for services in front of the General Assembly,
  • To determine according to the principles of the General Assembly the sales, barter and the rental fees of the real estate and estate,
  • To provide the investment decisions of new planned social areas to the approval of the General Assembly,
  • To implement the costs of common areas in OIR, infrastructure costs and the management fees accrued on behalf of the participants, to shape the sanctions within the framework of principles set by the General Assembly,
  • To realize land sales and allocations according to the principles of the General Assembly if there is any left,
  • To tender all the treatment facilities, infrastructure and social facilities including construction and projects in the name of OIR in accordance with the decisions of General Assembly,
  • To send the OIR projects to the relevant organizations to be approved or for comments,
  • To confirm any progress payments related to OIR,
  • To take and implement the necessary decisions with the authority given by the General Assembly about setting up and operating the production facilities of electricity, water, sewer, water distillation plant, roads, building of infrastructure for communications, sport facilities, buying from public institutions, distributing the sources,
  • To determine the fees of electricity, water, natural gas according to the principles of the General assembly,
  • To give permit fort the electricity generation plants, which will be established by the participants as autoproducer or a group of autoproducers, according to the principles of the General Assembly,
  • To decide for assignment and dismissal of the staff of regional Office except regional manager,
  • To determine the salaries of the regional Office staff,
  • To get credits fort the investments in OIR with the authority of General Assembly, to inform the participants about the commitments and duties necessary for the credit and to present the status to the General Assembly for the final approval,
  • To give licenses and permits according to the principles set by the General Assembly, to take measures for the appropriate action according to the licenses and permits, to determine sanctions to be applied by failure to comply,
  • To solve disputes among the OIR participants, to refer to the General Assembly when the dispute can’t be solved,
  • To analyze and finalize the transfer requests of the participants, who already received construction and operation permits, ,
  • To fulfill commitments and responsibilities to the Ministry,
  • To implement and carry out the plans, principles and programs determined by the General Assembly.



Audit Committee Duties and Responsibilities

  • To examine books of OIR once every three months regulary in order to learn about OIR operations and to keep the required records regularly,
  • To check the cash values and securities at least once every three months,
  • To check the budget, balance sheet and Schedule of revenues and expenses,
  • To inform the General Assembly by reporting the examination result of annual balance sheet,
  • To invite the General assembly for an extraordinary meeting if there is any negligence,
  • To examine the complaints of the OIR participants about board members and OIR staff, to report the results to the General Assembly,
  • In order to fill the discharged position of the Supervisory Board to call alternate member without delay,
  • To examine, if the board members carry the necessary conditions, to call enough number of members without delay if the quorum for the meeting lost,
  • The Audit Committee is responsible to prepare a general supervision report once a year and an interim report at least once every three months for the General Assembly.

Duties and Powers of District Office

1. Duties and Powers during Construction Period

  • To establish an effective regional Office team,
  • To prepare or let to prepare tender documents for the technical Works in accordance with the details of the plan and specifications,
  • To prepare work programs, to coordinate the application of the work according to the program,
  • To prepare or to let to prepare the specifications of the material and equipment,
  • To control or let to control whole materials and equipments in OIR, to check all construction and installation work in accordance with the contract and to prepare their rations,
  • To organize the payrolls,
  • To prepare the monthly progress report and quarterly budget report,
  • To implement the plans, principles and programs determined by the OIR Management Board.



2. Duties and Powers during Business Period

  • To build up an administrative staff, who are talented to carry out all necessary services for the benefits of the industrialists in the region,
  • To supervise the sales programs till whole parcels have been sold in OIR,
  • To provide maximum assistance to the entrepreneurs to choose the appropriate location for the investment, business establishment, preplanning and relations between entrepreneurs and the technical committee,
  • To apply the regulation of OIR,
  • To supervise the services of the regional Office,
  • To follow debits and receivables,
  • To prepare the monthly progress report and quarterly budget report,
  • To implement the principles and programs determined by the Board of Directors.


3. Duties and Power of the District Office from the moment on it is economically efficient

  • Garbage collection and disposal service,
  • Safety of the region and traffic control,
  • Repair and maintenance service of electrical installations,
  • Repair and maintenance service of mechanical installations,
  • Building maintenance and repair service,
  • Arrangement of the land and maintenance service,
  • Fuel station,
  • First aid station,
  • Accounting service,
  • Technical drawing service,
  • Photocopy service,
  • Advertising and merchandising service,
  • Conference, seminar and employee training service.


4. The District Office can carry out the other services essential and useful for OIR with the permission of the Regional Management Board.
